TMA Bylaws Section 4.10 provides that, in between House of Delegates sessions, if the board approves a resolution or motion that contravenes TMA policy, the approval must be by a majority vote of the board. This would imply that board approval on other items of business does not require a majority.

The Council on Constitution and Bylaws proposes to amend the language in Section 4.10. Because the issue is going against policy approved by the House of Delegates, the council proposes that a three-quarters majority be required.

Recommendation: Amend Chapter 4, Board of Trustees, Section 4.10, Duties, Section 4.101, as follows:

The Board of Trustees shall have the following responsibilities: (1) administer the affairs assigned to it by the House of Delegates; (2) advise association officers in the management of their activities; (3) between House of Delegates sessions, establish TMA policy subject to house approval at its next meeting, provided that Board of Trustees approval of a resolution or motion that contravenes TMA policy requires a majority three-fourths vote of the board; (4) implement the policies of the House of Delegates; and (5) monitor program activities of association councils and committees, submit an annual report to the House of Delegates recommending programs and priorities, ensure the timely implementation of association priorities and programs, and evaluate the effectiveness of these programs.
